📋 Role Overview & Responsibilities
CAREER OPPORTUNITY Our client, a successful private equity firm, is searching for a VP Finance (VP). The VP will play a key role in building and managing the Firm’s finance, accounting, and tax functions to support the Firm’s growth. Success in this role is expected to lead to promotion to Chief Financial Officer in the next 2-3 years. This is a remote position with occasional travel expected.
KEY RESPONSIBILITIESThe VP Finance will be responsible for the finance, tax, and accounting functions of the management company and its investment funds & related entities, managing the outsourced fund administrator, and recommending and implementing efficient processes.
Investment FundsSupervise and ensure accuracy of capital calls and distributions and maintain capital call forecastOversee the review and recalculation of fund administrator work including management fee calculations, offsets & rebates; fund accounting; GP accounting; carry waterfalls; capital call & distribution allocations; and GP carry allocationsMaintain detailed GP co-invest and carry allocation schedules including vesting calculations and ensure information is accurately reflected in fund administrator calculationsOversee and review all limited partner communications including capital call & distribution notices and financial statements & corresponding reportsAssist in the review and preparation of quarterly portfolio company tear sheetsOversee compilation of quarterly Valuation Committee materialsManage annual fund auditsCoordinate with outside tax professionals on the preparation and filing of all tax returns, K-1s, and K-1 estimatesEnsure compliance with all limited partner side-letter obligations and other reporting requirementsCoordinate responses to ad-hoc limited partner requests and annual questionnairesMaintain portfolio investment schedules, key performance metrics, and fund/LP cash flows, ensuring accuracy and consistency of calculations and compliance with SEC marketing rulesMonitor and report on subscription line usage, including forecasting line availabilityMonitor, analyze, and report on fund investment activity, follow-on reserves, and capital availabilityDevelop reporting to comply with new Private Fund Rules going into effect in Q1’25Manage/mentor Fund Controller and outsourced administrator
Management CompanyReview monthly financial statements vs. budget and prepare reports for managementImplement procedures to track and report on material expensesOversee quarterly monitoring & transaction fee calculations & allocations and corresponding management fee offsets & rebatesEnsure fund & portfolio company expense allocations & billings are accurate and compliant with limited partnership agreementsEnsure master vendor list and expense allocation rules are current and consistent with limited partnership agreementsOversee management company budget, forecasting, and liquidity, including working with a dynamic financial model to conduct scenario analysis around management fee revenue, management fee waivers, headcount and expenses and their impacts to cash flowPerform detailed management fee waiver analysis, including cash flow implications for the management company and tax implications for the GPsCoordinate with outside tax professionals on all tax matters, for the management company as well as the Managing Members, including annual business tax filings, quarterly tax estimates and PTE paymentsManage banking relationships, including annual credit facility renewals and quarterly compliance reporting, and evaluate / recommend new partners as the Firm scalesLead annual insurance renewals for general liability, D&O and cybersecurity policiesContribute to annual Registered Investment Advisor regulatory reporting requirementsAssist with other administrative functions as needed, such as compliance, HR, and legalEvaluate current system infrastructure and technology and recommend / implement improvements to increase process consistency and efficiencyManage/mentor Management Company Controller
QUALIFICATIONS15+ years in finance and accounting for alternative investment entities; private equity experience strongly preferredDemonstrated ability to build and manage a successful finance teamThorough knowledge of partnership accounting including carry waterfalls with hurdle ratesGeneral understanding of partnership taxationHigh level of general business acumenStrong analytical skills and ability to prepare models and projections in ExcelExcellent verbal and written communication and interpersonal skills; ability to translate complex information into easy-to-understand materials / decksUndergraduate degree in accounting or finance and a CPA and/or MBA preferred
