Cooley is seeking a Corporate Paralegal

Position summary: A corporate paralegal provides legal support with general corporate maintenance and complex transactions for both private and public company clients. Specific duties and responsibilities include, but are not limited to:

Position responsibilities

General

Maintain corporate records and assist with compiling and organizing information and documentsPrepare legal opinions and assemble opinion back-upPrepare corporate and securities filings and conduct related researchPrepare stock certificates and maintain capitalization tables and option recordsCoordinate closings and prepare related documentsObtain and file documents with public agenciesAll other duties as assigned or required

Skills & experience

Required

Bachelor’s degree1-2 years of general corporate experienceWillingness and flexibility to work overtime, occasionally on short notice

Preferred

Familiarity with Carta, Shareworks, or similar Web based equity tracking systemPrevious law firm experience

Competencies

Excellent oral and written communication skillsStrong attention to detail with the ability to manage multiple priorities and track extensive detailsAbility to establish and maintain good working relationships with clients and all levels of personnel and handle confidential information sensitively and discreetlyAbility to work independently and as part of a team in a fast paced environment, while demonstrating initiative, diplomacy and tact when under pressureProficiency in the Microsoft Office suite, advanced knowledge of Excel preferred

The expected hourly pay range for this position is $32.00 - $40.00. Please note that final offer amount will be dependent on geographic location, applicable experience and skillset of the candidate.
