Position Overview:We are looking for an experienced Corporate Attorney to provide legal counsel and support to Clemens Media Group. The successful candidate will play a key role in ensuring that our business operations and transactions comply with legal requirements and standards. This is a remote position, and the Corporate Attorney will work closely with our legal team to address a wide range of corporate and commercial matters.
Responsibilities:Contract Review and Drafting: Review, draft, and negotiate a variety of contracts, including licensing agreements, partnerships, and vendor contracts.Compliance Management: Ensure that business operations adhere to relevant laws, regulations, and industry standards.Corporate Governance: Assist in maintaining corporate governance and compliance, including board meetings, record-keeping, and regulatory filings.Risk Management: Identify legal risks and provide proactive advice to the business to mitigate potential issues.Mergers and Acquisitions: Collaborate with the legal team on mergers, acquisitions, and other corporate transactions.Policy Development: Develop and implement corporate policies and procedures to enhance legal and regulatory compliance.
Qualifications:Juris Doctor (JD) degree from an accredited law school.Active license to practice law in at least one U.S. jurisdiction.2+ years of experience as a corporate attorney, preferably with a focus on media and entertainment.Strong knowledge of corporate law, contract law, and intellectual property law.Excellent negotiation and communication skills.Ability to work independently and remotely, demonstrating strong self-motivation and discipline.
