Description

The client is seeking a high-performing and confident Contracts Manager to support its Consumer Services and Partner Solutions businesses. This role provides the opportunity to negotiate contracts directly with the Client's commercial clients (as well as vendors and partners), requiring in-depth work and an understanding of general contracting practices in a variety of agreements, including, standard terms and conditions, software licensing, SaaS, "white label” agreements, marketing agreements, as well as NDAs, evaluation agreements and contract renewals. As a front-line negotiator, you are a problem solver and tasked to find win-win terms for both internal and external client's business and legal needs, while ensuring the agreements comply with the Client's internal policies as well as regulatory requirements. The Contracts Manager will frequently interact and coordinate with various stakeholders, including sales, the law department, compliance, product, finance, and infosec teams, as well as other groups to help drive negotiations to a successful and timely conclusion. The Contracts Manager will also assist the account management teams with the ongoing administration of client contracts, renewal management, and advise management on contractual terms and risks. Key to this role is collaboration and the ability to use excellent judgment, strong critical thinking, and interpersonal skills to support internal and external clients while balancing risks to protect Client.

Qualifications

BA Required; JD or paralegal certification preferred but not required if significant related experience. 3+ years plus of contract management experience, including reviewing, structuring, drafting, and negotiating a variety of commercial agreements, including software licensing, professional services, SaaS, and other complex commercial agreements for large financial institutions, and other types of business clients, such as telecoms, utilities or fintech, in a corporate environment. Excellent working knowledge of contract law and legal concepts such as Limitations of Liability, Indemnification, Warranties, Termination, and Confidentiality (including data security). Experience with data privacy laws and other similar regulatory schemes, a plus. Experience supporting sales and account development teams at a technology company or other large company is desired. Ability to lead a negotiation, understanding how to balance key risks and opportunities to reach mutually acceptable terms. Effective communication of contract risk associated with certain arrangements with all stakeholders including C Suite executives. Ability to draft documents quickly and concisely, including bespoke non-templated language. Limited travel may be required for team meetings at corporate or for on-site contracts negotiations.

Self-starter who understands executing with urgency, and the ability to comfortably work in an intensely deadline-oriented environment, including being able to re-prioritize quickly and frequently. Demonstrated interest in the tech arena and embraces technological evolutions, including contract management tools and AI. Ability to draft a substantive email in a concise manner for a C-Suite audience.
