π Role Overview & Responsibilities
Main Responsibilities:Provide support to the Corporate practice group.Assist legal professionals with preparing documents to ensure compliance with federal, state, and local regulations.Coordinate transaction closings, manage signature page packages, and ensure the delivery of all necessary documents and deliverables.Confirm the contents of appropriate closing checklists.Manage corporate and securities filings, including Form D and state blue sky filings.Prepare, review, and file UCC financing statements.Order and evaluate UCC, lien, litigation, and similar searches.Review and compile officerβs certificates, resolutions, organizational documents, and other deliverables.Work on special assignments involving routine fact or legal research, prepare reports, and handle associated filings.
Must Haves:5+ years of corporate paralegal experience in a law firm setting.Bachelor's degree or an Associate's degree with a Paralegal certificate.Proficiency in MS Suite, PDF creation tools, document management software, and timekeeping software.Familiarity with SEC filings, Form D, and BlueSkyAvailability for overtime as needed.Proven capability to meet deadlines and work effectively under pressure.Strong interpersonal skills for interacting with lawyers, paraprofessionals, and business services team members.Effective communication skills.
